1. Parties and trading names

These terms are issued by Cloddy Pty Ltd (ABN 42 640 359 235, ACN 640 359 235) of Level 1, 457–459 Elizabeth Street, Surry Hills NSW 2010 (Cloddy, we, us or our).

Cloddy Pty Ltd supplies services under the trading names Cloddy and Good Cause Tech. Good Cause Tech is not a separate legal entity. A reference to Cloddy, Good Cause Tech, we, us or our is a reference to Cloddy Pty Ltd. These terms apply to services promoted, quoted, ordered, invoiced or supplied under either trading name.

The person or entity acquiring or using our services is referred to as the Customer, you or your.

2. Acceptance and authority

These are our master and default terms of supply. Except to the extent an accepted contract document expressly replaces or varies them, every product or service we supply under the Cloddy or Good Cause Tech name is supplied subject to these terms. They apply to recurring services and to one-off, ad-hoc, urgent, remote, onsite, verbal and informally requested work.

A signed document is not required to form an agreement. After you or an authorised representative have received a copy of these terms, been given a link to them or otherwise been clearly notified that they apply, you accept them when you do any of the following:

  • sign or electronically accept a proposal, order, service agreement, statement of work or service schedule that refers to them
  • ask or instruct us by email, telephone, message, support ticket, portal, meeting or another channel to begin or continue work, investigate an issue, procure a product or provision a service
  • authorise access to a system, device, account, site or supplier so that we can perform requested work
  • accept, use or obtain the benefit of work, deliverables, products, accounts, subscriptions or services supplied after that notice
  • pay an invoice or deposit that refers or links to these terms
  • create, renew or continue using an account, subscription or third-party service we procure or manage for you after that notice.

These terms therefore govern an accepted ad-hoc service request even if there is no signed proposal, fixed-price quote or separate service agreement. The request, our acceptance and any related email, ticket, work note, quote, supplier order or invoice form the Order for that work.

For an existing Customer, publication on our website alone does not retrospectively change completed work. These terms apply to each new Order placed after we give the Customer or an authorised contact a copy or link, and to existing recurring services in accordance with section 35.

Once a Customer has accepted these terms for an Order, they continue as the standing framework for each later Order the Customer or its authorised representatives place with us, including later ad-hoc requests, without requiring a new signature each time. This continues until the relationship ends or the terms are replaced or varied in accordance with the agreement and applicable law.

The person accepting these terms or giving an instruction warrants that they are at least 18 years old and have actual or apparent authority to bind the Customer. You are responsible for requests and instructions issued by your nominated contacts, personnel or agents within the authority you have represented to us. If you do not accept these terms, you must not request, authorise or use the relevant services.

The current canonical version is available at https://cloddy.com.au/legal/terms-and-conditions/. A copy can be requested using the contact details in section 38.

Website access is also governed by sections 29 and 30.

3. Contract documents and priority

The agreement between the parties consists of the following documents to the extent applicable:

  1. a signed service agreement, proposal or order form
  2. an accepted quote, service schedule, statement of work or change request
  3. these terms
  4. the request, instruction, support ticket, email, work record or other material that identifies the ad-hoc work accepted by us
  5. our Privacy Policy and any acceptable-use, security or operational policy applicable to the service or expressly incorporated into an Order
  6. applicable Third-Party Terms under section 10.

If documents conflict, they apply in the order listed above, except that Third-Party Terms govern the licensing and use of the applicable third-party product or service. A purchase order or other Customer document is administrative only and does not amend the agreement unless we expressly agree in writing.

If there is no signed service agreement, proposal, quote or statement of work, these terms remain the principal contract governing the services. The applicable Order is then identified by the Customer's request, the work we accept or perform, and available contemporaneous records. A missing formal document does not mean requested work is supplied free of charge or without contractual terms.

4. Quotes, orders and commencement

A quote or proposal is valid for the period stated in it and may be withdrawn before acceptance. An Order becomes binding when we accept it in writing, confirm it through a service system, begin work, procure a product or activate a service.

An ad-hoc request made by email, telephone, message, support ticket, portal or meeting is an offer to acquire the requested services under these terms. We may accept it by confirming the request or commencing performance. We may record the scope, time, materials, outcome and charges in our ticketing, time-recording, supplier, accounting or invoicing systems.

If we have not agreed a fixed price in writing, ad-hoc work is charged on a time-and-materials basis at our rate communicated before or at the time of the request, our rate previously notified to the Customer, or—if neither applies—our reasonable then-current rate for the work, plus applicable minimum charges, after-hours charges, travel, freight, products, licences, supplier costs and GST. An estimate is not a fixed price unless expressly stated.

We may require a deposit, payment in advance, direct debit authority, credit assessment or personal or corporate guarantee before accepting an order. Unless an order states otherwise, indicative dates are estimates and depend on timely Customer decisions, access, information and third-party availability.

5. Scope of services

We may supply managed IT, helpdesk, professional services, projects, cybersecurity, Microsoft 365, cloud, hosting, backup, hardware, software, licensing, telecommunications, connectivity, training, governance and related services.

The included services, exclusions, assumptions, service hours, supported users, devices and locations, response targets, deliverables and fees are those stated in the applicable order. Anything not expressly included is out of scope and may be quoted or charged separately at our then-current rates.

Unless an order expressly states otherwise:

  • response and resolution times are targets, not guarantees
  • services are supplied remotely during our published business hours
  • after-hours, emergency, onsite, travel, freight and third-party work is chargeable
  • a managed service does not include unlimited projects, remediation, data recovery, major changes or support for unsupported systems
  • recommendations, roadmaps and security guidance are professional opinions based on information available at the time, not guarantees of a particular commercial, compliance or security outcome.

6. Changes and urgent work

Either party may request a change to scope, timing or deliverables. We are not required to perform a material change until the parties agree its impact on fees, timing and responsibilities.

If we reasonably believe urgent work is necessary to contain a security threat, prevent material data loss, protect people or systems, comply with law or restore a critical service, we may take proportionate protective action and notify you as soon as reasonably practicable. Urgent work outside scope is chargeable at the applicable rate.

7. Customer responsibilities

You must:

  • provide accurate, complete and timely information, decisions and instructions
  • nominate authorised contacts and keep their details current
  • give us safe, timely and lawful access to relevant premises, systems, accounts, devices, credentials, personnel and suppliers
  • maintain all licences, permissions, consents, policies and notices required for your operations and data
  • ensure users follow our directions, security requirements and applicable Third-Party Terms
  • maintain suitable power, internet, physical security and environmental conditions
  • promptly install or approve critical updates and remediate risks we identify
  • keep independent backups for anything not expressly covered by a managed backup service
  • tell us about material changes to users, locations, systems, risks, insurance requirements or regulatory obligations
  • not interfere with monitoring, security, backup or management tools without approval
  • use services lawfully and not for abuse, infringement, harassment, fraud, malware, unauthorised access or other harmful activity.

We are not responsible for delay, failure, additional work or loss caused by your breach of these responsibilities, inaccurate information, delayed approval, unsupported technology or refusal of a documented recommendation. Additional work is chargeable.

8. Authorised instructions and remote access

We may rely on instructions that reasonably appear to come from an authorised contact. You must promptly notify us if authority changes or credentials may be compromised.

You authorise us to install, configure, update, operate and, when appropriate, remove secure remote-management, monitoring, support and security software and agents on in-scope systems. These tools may collect device, account, configuration, performance, security and support information necessary to supply the services.

Where included in the applicable Order, the tools may allow authorised technicians to establish interactive or unattended remote sessions for support, maintenance, monitoring, security, remediation and service administration. An unattended session may occur without the device user being present or approving each individual connection. We will limit access to authorised purposes and personnel and use available access controls and activity records appropriate to the service.

You must provide all required notices and obtain all employee, contractor, user and other consents or authorities required for installation, monitoring and remote access. You must not disable, remove or interfere with an agreed management or security agent without first consulting us, as doing so may prevent monitoring, patching, protection or support and may place the device outside the supported scope.

9. Security, incidents and compliance

Cybersecurity reduces risk but cannot eliminate it. Unless expressly stated in an order, we do not warrant that services will be uninterrupted, error-free or immune from phishing, social engineering, malicious insiders, zero-day vulnerabilities, third-party compromise, ransomware or other cyber events.

You remain responsible for your organisation's governance, risk acceptance, legal and regulatory compliance, cyber insurance, records and decisions. We may assist, but we do not act as your legal adviser, auditor, insurer or statutory compliance officer.

Each party must promptly notify the other of a suspected security incident relevant to the services and reasonably cooperate in containment, investigation, notification and recovery. Incident response, forensics, legal support, notification, restoration and remediation are chargeable unless expressly included.

10. Third-party products, partners and terms

Many services depend on products, networks, licences, platforms and infrastructure supplied by third parties (Third-Party Services). These may include, without limitation, services supplied by Microsoft, nbn co, Optus, Aussie Broadband, Cloudflare and Atera, as well as carriers, distributors, registrars, hosting providers, hardware manufacturers, software publishers and cloud or security vendors.

By ordering, accessing, renewing or using a Third-Party Service through us, you agree:

  • to the provider's then-applicable customer, product, licence, acceptable-use, privacy, data-processing, fair-use and service terms (Third-Party Terms)
  • that we may accept or administer Third-Party Terms as your authorised reseller, agent or technology provider where the applicable ordering model permits
  • to give us information and authorisations reasonably required to provision and administer the service
  • to ensure your users comply with those terms
  • that the provider may change features, prices, service levels, locations, product names, licence rules and terms outside our control.

Applicable terms may include those published through the Microsoft Product Terms, nbn supply agreements, Optus legal and regulatory terms, Aussie Broadband legal terms, Cloudflare terms and Atera terms, together with product-specific terms presented or linked in an order, portal or activation process.

If you do not accept applicable Third-Party Terms, you must not order or use that Third-Party Service and must notify us before provisioning. We are not the manufacturer, carrier or primary platform operator and do not control its acts, omissions, outages, security, roadmap or continued availability.

11. Third-party subscriptions and commitments

Subscriptions may have minimum quantities, annual or multi-year commitments, auto-renewal dates, non-refundable charges and cancellation deadlines imposed by a provider. You must pay all charges we commit to on your behalf for the committed term, including charges continuing after our managed-service agreement ends.

Unless an order states otherwise:

  • licences and subscriptions are billed in advance
  • reductions or cancellations take effect only when permitted by the provider
  • committed, consumed, activated, customised or specially procured items are non-cancellable and non-refundable, subject to law
  • foreign exchange, tax, provider and distributor price changes may be passed through on reasonable notice
  • excess usage, calls, storage, data, consumption and other variable charges are payable in arrears.

We may require prepayment for the remainder of a third-party commitment before transferring administration or ending our involvement.

12. Telecommunications and connectivity

Internet, nbn, mobile, voice and carrier services depend on network availability, line conditions, coverage, power, equipment, building access, third parties and factors outside our control. Advertised speeds are not guaranteed unless an order expressly includes a service level.

You must comply with applicable carrier, nbn, fair-use, porting, number-management, emergency-calling and acceptable-use requirements. Outages, migrations and porting may interrupt service. You are responsible for maintaining any continuity measures appropriate to your operations, including failover connectivity and emergency communication arrangements.

13. Backup, retention and restoration

Backup is included only when expressly stated in an order. The order must identify protected systems, frequency, retention and any restoration or testing service.

No backup system is infallible. You must promptly review backup reports or exceptions we provide, retain source data until an initial backup is confirmed, and maintain any additional independent or offline copy appropriate to your risk. Restoration time depends on data volume, connectivity, system condition and third-party availability. Historical versions may expire under the agreed retention policy.

We are not responsible for data outside the agreed scope, data deleted before protection began, undetected corruption, credentials or encryption keys controlled solely by you, or a failure you knew or ought reasonably to have known about but did not report.

14. Hardware and delivery

Hardware availability, specifications and delivery dates are subject to supplier confirmation. Equivalent substitutions require your approval unless the original product is unavailable and the substitution is materially equivalent at no additional cost.

Risk in goods passes to you on delivery to your premises, nominee or carrier. Title remains with us until all amounts owing for those goods are paid in cleared funds. Until title passes, you must keep goods identifiable, insured and free from encumbrances and must not resell or dispose of them outside ordinary use.

To the extent permitted by law, you consent to us registering and maintaining any security interest arising under the Personal Property Securities Act 2009 (Cth) and must reasonably assist with registration. Manufacturer warranties apply according to their terms. Our time handling warranty claims may be chargeable where not included in an order.

15. Fees, taxes and expenses

You must pay the fees in the order or, where not stated, our then-current rates. Fees are exclusive of GST unless expressly stated otherwise. You must also pay approved expenses, freight, travel, duties, taxes, third-party charges and usage charges.

Recurring fees may be reviewed at renewal or on at least 30 days' notice to reflect CPI, labour, currency, supplier, licensing or service-cost changes. If a change initiated solely by us materially increases a recurring fee during a committed term, and is not caused by scope, usage, tax or a third-party price change, you may terminate the affected service by written notice before the increase takes effect without an early termination fee. Charges already committed to third parties remain payable.

16. Invoicing and payment

Unless an order states an earlier payment date:

  • invoices are due in full within 14 calendar days of the invoice date
  • recurring services and subscriptions may be invoiced in advance
  • projects may require deposits, milestone payments or payment before procurement
  • payment must be made in Australian dollars by an approved payment method
  • you must pay without set-off, deduction, counterclaim or withholding except where required by law.

You must notify us in writing of a genuine invoice dispute within 7 days of the invoice date, identifying the amount and detailed basis of dispute. You must pay the undisputed portion by the due date. The parties must work promptly and in good faith to resolve the disputed amount.

17. Strict non-payment and overdue accounts

Time for payment is of the essence.

  1. Due date — day 14: payment must be received in cleared funds within 14 calendar days of the invoice date.
  2. Overdue — day 15: any unpaid amount becomes overdue. We may issue reminders, restrict further credit, require direct debit or prepayment, pause new orders and withhold non-critical out-of-scope work.
  3. Serious arrears — day 28: if an amount remains unpaid 28 calendar days after the invoice date, we may charge a one-time late processing fee of $35 for that invoice and simple interest on the unpaid balance at 0.04% per day (equivalent to 14.6% per annum), calculated daily from day 29 until payment.
  4. Suspension: after giving at least 5 business days' written notice, we may suspend affected services, licences, support, procurement or account administration while a material undisputed amount remains overdue. Where practicable, we will consider security, safety, legal, data-access and third-party constraints before suspension.
  5. Recovery: you must reimburse our reasonable external debt-recovery, mercantile-agent, court, enforcement and legal costs actually incurred in recovering an overdue undisputed amount, to the extent permitted by law.

The late processing fee and interest are intended to compensate us for reasonable administration, financing and credit-management costs, not to penalise you. They do not compound. If a charge exceeds what is lawful or enforceable, it is reduced to the maximum lawful amount. We may waive or defer enforcement in writing without waiving future rights.

Suspension does not cancel committed charges, extend a subscription term or relieve you from paying amounts accrued. We are not liable for loss caused by a suspension properly exercised under this section, except to the extent caused by our negligence, wilful misconduct or breach of law.

18. Credit review and payment security

We may set or change a credit limit based on payment history, credit information, supplier exposure or reasonable concerns about solvency. We may require payment in advance, a deposit, direct debit, reduced commitment, guarantee or other reasonable security before continuing to incur new cost. This does not alter an existing prepaid entitlement except as permitted by the agreement and law.

19. Service levels, maintenance and availability

Service levels apply only if expressly stated in an order or service schedule. A response target is not a resolution guarantee. Priority is determined by impact and urgency using our reasonable assessment.

Service levels do not apply to planned maintenance, Customer-caused events, excluded or unsupported systems, internet or power failure, force majeure, third-party services, security containment, awaiting Customer information or access, or work outside scope. We may perform scheduled or emergency maintenance and will provide reasonable notice where practicable.

20. Intellectual property

Each party retains ownership of intellectual property it owned or developed independently of the services. We retain ownership of our methods, know-how, scripts, templates, configurations, documentation, tools and reusable materials (Cloddy Materials).

Once all relevant invoices are paid, we grant you a non-exclusive, non-transferable licence to use Cloddy Materials embedded in a deliverable for your internal operations for as long as needed to use that deliverable. This does not transfer ownership or permit resale, publication or commercial exploitation.

Third-party intellectual property remains subject to Third-Party Terms. You warrant that materials, data, software and instructions you provide do not infringe another person's rights and may lawfully be used by us to supply the services.

21. Confidentiality

Each party must protect the other's confidential information using at least reasonable care and use it only to perform or receive the services. This obligation does not apply to information that is public through no breach, already lawfully known, independently developed or lawfully received without restriction.

A party may disclose confidential information to personnel, professional advisers, insurers, financiers, subcontractors and providers who need it and are bound by appropriate obligations, or where required by law. Where lawful, the disclosing party must give reasonable prior notice of compelled disclosure.

22. Privacy and Customer data

Our Privacy Policy describes how we handle personal information. You authorise us and relevant subcontractors and providers to access, use, store, transmit and process Customer data as reasonably necessary to supply, secure, support and bill the services.

You remain responsible for the lawfulness, accuracy, quality, retention and content of Customer data and for providing required privacy notices and obtaining required consents. You must not instruct us to process data unlawfully.

Customer data remains yours or your licensors'. We do not acquire ownership merely by processing it. Data location, export, retention and deletion may be governed by the applicable service schedule and Third-Party Terms.

23. Warranties and Australian Consumer Law

We warrant that we will supply services with due care and skill. Products and services may also carry non-excludable guarantees under the Australian Consumer Law in Schedule 2 to the Competition and Consumer Act 2010 (Cth) (ACL).

Nothing in the agreement excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, restricted or modified. Subject to those rights and to the maximum extent permitted by law, all other implied warranties, conditions and representations are excluded.

Where the ACL permits us to limit our liability for a failure to comply with a consumer guarantee, our liability is limited, at our option, to:

  • for goods: replacement, repair, supply of equivalent goods, or payment of the cost of doing so
  • for services: supplying the services again or paying the cost of having them supplied again.

24. Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, special or consequential loss, or for loss of profit, revenue, opportunity, anticipated savings, goodwill or business interruption, except where such exclusion is prohibited by law.

To the maximum extent permitted by law, our aggregate liability arising from an event or series of related events is limited to the fees paid or payable for the affected service during the one month immediately before the first event giving rise to liability. If the affected service has been supplied for less than one month, the cap is limited to the fees paid or payable for that service during the period it was supplied.

The exclusions and cap do not apply to liability that cannot lawfully be limited, or to fraud, wilful misconduct, death or personal injury caused by negligence. Liability is reduced to the extent loss was caused or contributed to by the Customer, its personnel, another supplier, failure to mitigate, or technology outside our agreed responsibility.

We are not liable for a third-party provider's independent acts or omissions. This does not exclude liability for our own failure to exercise due care and skill in selecting, configuring or administering a Third-Party Service within scope.

25. Indemnity

You indemnify us against third-party claims, losses and reasonable costs arising from:

  • your unlawful or unauthorised use of a service
  • Customer data, content or materials infringing third-party rights
  • your material breach of applicable Third-Party Terms
  • an instruction we follow in good faith that infringes another person's rights or law
  • your fraud, wilful misconduct or negligence.

The indemnity is reduced to the extent a claim was caused by our breach, negligence or wilful misconduct. We must give reasonable notice of a claim and allow you reasonable participation in its defence. You may not settle a claim in a way that admits fault by or imposes obligations on us without our written consent.

26. Suspension for security, legal or operational risk

In addition to non-payment rights, we may immediately take proportionate protective action, including isolating a device, disabling an account or suspending an affected service, if reasonably necessary to address an active security threat, unlawful use, material breach, danger to people or property, provider direction or risk to our systems or other customers.

We will notify you as soon as reasonably practicable, limit the action to what is reasonably necessary and restore service when the issue is remedied and it is safe and lawful to do so. Remediation and restoration work is chargeable unless the event was caused by our breach.

27. Term, renewal and termination

The term, minimum commitment and renewal rules are stated in the applicable order. If not stated, a recurring managed service continues month to month after its first month and either party may terminate it on 30 days' written notice.

Either party may terminate an affected order by written notice if the other party:

  • materially breaches the agreement and fails to remedy a remediable breach within 10 business days after notice
  • suffers an insolvency event, subject to applicable law
  • engages in fraud, unlawful conduct or conduct creating a serious security or safety risk that cannot reasonably be remedied.

On termination or expiry:

  • all accrued invoices and work performed become immediately payable
  • committed third-party, cancellation, usage and early termination charges remain payable
  • each party must return or securely destroy the other's confidential information when reasonably requested, subject to law, backup cycles and legitimate recordkeeping
  • your right to use terminated licences and services ends according to the applicable Third-Party Terms
  • sections intended to survive, including payment, confidentiality, intellectual property, liability, indemnity and disputes, continue.

28. Transition assistance

Subject to payment of overdue amounts and security and legal requirements, we will reasonably cooperate with an orderly transition to you or a replacement provider. Transition work is chargeable at our then-current rates unless included in an order.

We may require an agreed transition plan covering identity verification, authorised recipients, credentials, data export, subscriptions, domain and tenant administration, hardware, timing and risk. We will not disclose another customer's information, our confidential tools or credentials we are not authorised to transfer.

Third-party transfer, export and retention options depend on the provider and may require your direct agreement or payment. You are responsible for downloading or migrating data before a retention period expires.

29. Website use

The Cloddy and Good Cause Tech websites provide general information only. Website content is not a substitute for advice based on your environment and does not form a service commitment unless incorporated into an accepted order.

You must not misuse a website, attempt unauthorised access, introduce malicious code, scrape at unreasonable volume, interfere with operation, impersonate another person or use content unlawfully.

We may change or withdraw website content without notice. Links to third-party sites are provided for convenience and do not make us responsible for their content, security, availability or privacy practices.

30. Website intellectual property

Website content, branding, copy, layouts, graphics and original materials are owned by or licensed to Cloddy Pty Ltd and protected by applicable intellectual property laws. You may view and print reasonable extracts for internal, non-commercial reference. You must not reproduce, republish, modify, distribute or commercially exploit them without prior written consent or a right granted by law.

Open-source icons and other third-party materials remain subject to their respective licences.

31. Force majeure

Neither party is liable for delay or failure caused by an event beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, civil disturbance, industrial action, utility failure, carrier or internet outage, supply-chain disruption, government action or widespread cyberattack, provided the affected party uses reasonable efforts to mitigate and resume performance.

This section does not excuse an obligation to pay for services already supplied, committed third-party charges or an obligation that arose before the event.

32. Subcontractors and personnel

We may use employees, contractors, distributors, carriers, professional advisers and specialist providers to supply the services. We remain responsible for performance of our contractual obligations to the extent required by law and the agreement.

33. Disputes

Before commencing court proceedings, a party must give written notice describing the dispute and requested outcome. Operational representatives must first attempt resolution in good faith. If unresolved within 10 business days, the dispute must be escalated to a senior representative of each party.

Nothing prevents a party seeking urgent interlocutory relief, protecting a limitation period, reporting a matter to a regulator or pursuing an undisputed debt.

34. Notices

Contract notices must be sent by email to the authorised contact or address stated in the applicable order, or to the contact details in section 38. A notice is taken received when delivered without an automated failure message, or on the next business day if sent after 5:00 pm in the recipient's location.

You must keep contact and billing details current. Routine support messages, alerts and invoices may be sent through our service systems or portals.

35. Changes to these terms

We may update these terms for future Orders and renewals. The version applying to an ad-hoc Order is the version provided or linked to the Customer before or when that Order is placed and accepted. A later website update does not retrospectively alter an Order already completed.

For an existing recurring service, we may make a change on at least 30 days' notice where reasonably required by law, security, insurance, a provider, service operation or a change in our offering. Notice may include an email or service communication containing a link to the updated terms and their effective date.

If a change initiated solely by us causes material detriment and is not reasonably necessary to protect a legitimate interest, you may terminate the affected recurring service by written notice before the change takes effect without an early termination fee. Third-party commitments and accrued charges remain payable. Continued use after the effective date constitutes acceptance where permitted by law.

36. General

  • Governing law: the agreement is governed by the laws of New South Wales, Australia. The parties submit to the courts of New South Wales and courts entitled to hear appeals from them.
  • Assignment: you must not assign the agreement without our written consent, not to be unreasonably withheld. We may assign it to a related body corporate or as part of a genuine sale or restructure of our business on notice, provided this does not materially reduce your rights.
  • No partnership: the agreement does not create employment, partnership, joint venture or fiduciary relationship.
  • No waiver: a delay or failure to exercise a right is not a waiver. A waiver must be in writing.
  • Severability: an invalid or unenforceable provision is read down to the minimum extent necessary or severed, and the remainder continues.
  • Entire agreement: the contract documents are the entire agreement about their subject matter and replace earlier discussions, subject to rights that cannot be excluded and liability for misleading conduct.
  • Electronic execution: electronic acceptance, signatures and counterparts are valid to the extent permitted by law.
